TERMS AND CONDITIONS

IMPORTANT: Please read these Terms and Conditions carefully before engaging our services. By signing a service agreement or accepting our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

1 Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between The Valley Connect LLC ("Company," "we," "us," or "our") and the client ("Client," "you," or "your") for all services provided by the Company. By engaging our services, scheduling a consultation, or signing any service agreement, you acknowledge and agree to these Terms in their entirety.

If you are entering into this agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms, and "you" and "your" refer to such entity.

2 Services Offered

The Valley Connect LLC provides the following professional services for both residential and commercial properties:

2.1 Smart Home Automation

  • Design, installation, and integration of smart home systems
  • Lighting control systems and automated window treatments
  • Climate control and HVAC automation
  • Smart locks, doorbells, and access control systems
  • Voice control integration (Alexa, Google Home, etc.)
  • Home automation programming and customization

2.2 Audio Visual Systems

  • Multi-room audio system design and installation
  • Video distribution systems
  • Commercial presentation systems
  • Conference room AV solutions
  • Digital signage installation

2.3 Commercial Structure Cabling

  • Structured cabling design and installation
  • Cat5e, Cat6, Cat6a, and fiber optic cabling
  • Network infrastructure implementation
  • Cable management and organization
  • Testing and certification of cabling systems

2.4 Security Systems

  • Security camera installation and monitoring
  • Alarm system design and installation

3 Service Areas

We proudly serve the following areas in Arizona:

Services outside these areas may be available upon request and subject to additional travel fees.

4 Consultation and Project Assessment

4.1 Initial Consultation

We offer initial consultations to assess your project requirements. Consultation fees, if applicable, will be clearly communicated prior to scheduling. Consultation fees may be credited toward project costs if you proceed with our services.

4.2 Site Survey

For accurate project estimates, a site survey may be necessary. During the site survey, our technicians will:

  • Assess existing infrastructure and conditions
  • Identify potential installation challenges
  • Measure spaces and document current equipment
  • Discuss your specific needs and preferences

4.3 Project Proposals

Following the consultation and site survey, we will provide a detailed project proposal including scope of work, equipment specifications, timeline, and pricing. Proposals are valid for 30 days unless otherwise specified.

5 Pricing and Payment Terms

5.1 Pricing Structure

All pricing is provided in writing and includes labor, materials, and equipment as specified in the project proposal. Prices are subject to change if project scope changes or if unforeseen conditions are discovered during installation.

5.2 Payment Schedule

Payment terms will be outlined in your service agreement and typically follow this structure:

  • Deposit: 50% deposit required upon signing service agreement
  • Progress Payments: For larger projects, progress payments may be required at specified milestones
  • Final Payment: Remaining balance due upon project completion and client acceptance

5.3 Accepted Payment Methods

We accept the following payment methods:

  • Check or money order
  • Credit/Debit cards (processing fees may apply)
  • Bank transfer/ACH
  • Financing options (subject to credit approval)

5.4 Late Payments

Invoices are due within 15 days of invoice date unless otherwise specified. Late payments may incur a service charge of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is less. Work may be suspended if payments are not received as scheduled.

5.5 Additional Costs

The following may result in additional charges:

  • Changes to project scope requested by client
  • Unforeseen conditions requiring additional work
  • Premium or expedited service requests
  • After-hours or weekend work (if requested)
  • Permit fees and inspection costs
  • Extended warranty or service plan purchases

6 Project Timeline and Scheduling

6.1 Estimated Timeline

Project timelines are estimates based on normal working conditions and are subject to change due to factors beyond our control, including but not limited to:

  • Equipment delivery delays
  • Weather conditions
  • Permit approval delays
  • Unforeseen site conditions
  • Changes in project scope

6.2 Access Requirements

Client must provide reasonable access to the work site during scheduled installation times. If access is not provided, rescheduling fees may apply.

6.3 Project Delays

We will make reasonable efforts to notify you of any project delays. However, The Valley Connect LLC is not liable for damages or losses resulting from project delays beyond our control.

7 Installation and Workmanship

7.1 Quality Standards

All work performed by The Valley Connect LLC will meet or exceed industry standards and local building codes. Our technicians are trained professionals committed to delivering quality workmanship.

7.2 Site Protection

We will take reasonable precautions to protect your property during installation, including:

  • Using drop cloths and floor protection
  • Cleaning work areas upon completion
  • Removing installation debris
  • Repairing minor cosmetic damage caused during installation

7.3 Pre-Existing Conditions

The Valley Connect LLC is not responsible for pre-existing damage or defects in walls, ceilings, flooring, or other structures. Any pre-existing conditions discovered during installation will be documented and discussed with the client.

7.4 Building Modifications

Installation may require minor building modifications such as drilling holes, mounting equipment, or running cables. All necessary modifications will be performed professionally and with client consent.

8 Equipment and Materials

8.1 Equipment Selection

We will recommend equipment based on your needs, budget, and project requirements. Final equipment selection must be approved by the client before ordering.

8.2 Equipment Procurement

Equipment and materials will be ordered after deposit payment is received. Special order items are non-refundable.

8.3 Equipment Warranties

All equipment is covered by manufacturer warranties. Warranty terms vary by manufacturer and will be provided with your project documentation. The Valley Connect LLC will assist with warranty claims when applicable.

8.4 Client-Provided Equipment

If you choose to provide your own equipment:

  • Equipment must be approved by us prior to installation
  • We cannot guarantee compatibility or performance
  • Installation warranty may be limited
  • Equipment must be available on-site when scheduled

9 Warranties and Guarantees

9.1 Labor Warranty

The Valley Connect LLC provides a one (1) year labor warranty on all installation work from the date of project completion. This warranty covers defects in workmanship and installation errors.

9.2 What's Covered

Our labor warranty covers:

  • Installation defects and errors
  • Wire and cable connections
  • Mounting and physical installation
  • Programming and configuration (initial setup)

9.3 What's Not Covered

The labor warranty does NOT cover:

  • Equipment failure (covered by manufacturer warranty)
  • Damage caused by misuse, abuse, or negligence
  • Damage from power surges, lightning, or acts of nature
  • Modifications made by others after installation
  • Normal wear and tear
  • Damage from pests, water, fire, or environmental factors
  • Issues resulting from failure to follow operating instructions

9.4 Warranty Claims

To make a warranty claim:

  2. Provide details of the issue and your service agreement number
  3. Allow us reasonable time to inspect and resolve the issue

9.5 Warranty Limitations

This warranty is non-transferable and applies only to the original client. THE WARRANTY PROVIDED HEREIN IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

10 Maintenance and Support

10.1 Post-Installation Support

We provide post-installation support including:

  • System operation training
  • User documentation
  • Technical support for 30 days after installation

10.2 Ongoing Maintenance

Regular maintenance is recommended to ensure optimal system performance. We offer maintenance plans and service agreements for ongoing support. Contact us for details.

10.3 Service Calls

Service calls outside the warranty period are subject to our standard service rates. Service call fees include travel time and the first hour of labor. Additional work will be quoted on-site.

11 Cancellation and Refund Policy

11.1 Client Cancellation

You may cancel your service agreement according to the following terms:

  • Before Work Begins: Full refund minus equipment restocking fees (typically 20-30% of equipment cost)
  • After Work Begins: Refund of unused deposit minus completed work, ordered equipment, and administrative fees
  • Special Orders: Equipment ordered specifically for your project is non-refundable

11.2 Company Cancellation

We reserve the right to cancel or refuse service if:

  • Site conditions are unsafe for our technicians
  • Required permits cannot be obtained
  • Payment terms are not met
  • Client behavior is threatening or abusive

In such cases, you will receive a refund for work not performed, minus any costs already incurred.

11.3 Rescheduling

Appointments may be rescheduled with at least 48 hours notice at no charge. Late cancellations or no-shows may incur a rescheduling fee.

12 Limitation of Liability

12.1 Liability Cap

To the maximum extent permitted by law, The Valley Connect LLC's total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific services giving rise to the claim.

12.2 Consequential Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Lost profits or business opportunities
  • Loss of data or content
  • Cost of substitute services
  • Property damage not directly caused by our negligence

12.3 Third-Party Products

We are not liable for defects in third-party equipment or software. Such products are covered solely by their manufacturer warranties.

12.4 System Performance

While we strive for optimal system performance, we cannot guarantee:

  • Uninterrupted operation of systems
  • Compatibility with all future devices or software updates
  • Protection against all security threats or breaches
  • Performance of internet or network services provided by third parties

13 Insurance and Licensing

13.1 Insurance Coverage

The Valley Connect LLC maintains general liability insurance and workers' compensation insurance as required by law. Certificates of insurance are available upon request.

13.2 Licensing

We maintain all necessary licenses and permits required to perform our services in Arizona. We comply with all applicable local, state, and federal regulations.

13.3 Permits

If permits are required for your project, we will assist in obtaining them. Permit fees are the responsibility of the client and are in addition to project costs.

14 Client Responsibilities

14.1 Information Accuracy

You agree to provide accurate and complete information regarding your property, needs, and expectations.

14.2 Property Access

You agree to:

  • Provide safe access to work areas
  • Ensure pets are secured during installation
  • Clear work areas of personal items and valuables
  • Provide parking for service vehicles
  • Ensure electrical power is available for installation

14.3 Internet and Network

For projects requiring internet connectivity, you must:

  • Maintain adequate internet service
  • Provide network credentials if needed
  • Ensure your router/modem is compatible with installed systems

14.4 System Usage

You are responsible for:

  • Following operating instructions provided
  • Maintaining reasonable security of passwords and access codes
  • Not modifying or tampering with installed systems
  • Informing us of issues promptly

15 Privacy and Data Protection

15.1 Information Collection

We collect and store information necessary to provide our services, including:

  • Contact information
  • Property details
  • System configurations
  • Service history

15.2 Data Security

We implement reasonable security measures to protect your information. However, no method of transmission or storage is 100% secure.

15.3 Network Security

For systems connected to your network, we recommend:

  • Using strong, unique passwords
  • Regularly updating firmware and software
  • Implementing network security best practices
  • Using separate network segments for smart devices if possible

15.4 Third-Party Services

Some systems may require third-party accounts or services (cloud storage, monitoring services, etc.). You are responsible for reviewing and accepting the terms and privacy policies of these third-party services.

16 Intellectual Property

16.1 Ownership

All designs, drawings, specifications, and documentation created by The Valley Connect LLC remain our intellectual property unless otherwise agreed in writing.

16.2 License

Upon full payment, you receive a non-exclusive, non-transferable license to use system configurations and documentation for the installed systems at your property.

16.3 Restrictions

You may not:

  • Reproduce our designs for use at other properties
  • Share our proprietary configurations with competitors
  • Reverse engineer custom programming

17 Dispute Resolution

17.1 Good Faith Negotiations

In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiations.

17.2 Mediation

If negotiations fail, the parties agree to attempt mediation before pursuing legal action. Mediation costs shall be shared equally.

17.3 Arbitration

Any disputes not resolved through mediation shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Maricopa County, Arizona.

17.4 Legal Action

If arbitration is unsuccessful, any legal action must be brought in the courts of Maricopa County, Arizona. The prevailing party shall be entitled to recover reasonable attorney fees and costs.

18 Commercial Projects

18.1 Additional Requirements

Commercial projects may require:

  • Additional insurance coverage
  • Bonding
  • Davis-Bacon wage compliance
  • Lien waivers
  • As-built documentation
  • Extended warranties or service agreements

18.2 Commercial Terms

Commercial projects may have different payment terms, typically:

  • Net 30 payment terms for qualified businesses
  • Progress billing based on completion milestones
  • Retainage (typically 5-10%) held until final acceptance

18.3 Prevailing Wage

For government or public works projects, prevailing wage rates apply and will be reflected in project pricing.

19 Force Majeure

The Valley Connect LLC shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to:

  • Acts of God (earthquakes, floods, severe weather)
  • War, terrorism, or civil unrest
  • Epidemics or pandemics
  • Government actions or regulations
  • Labor disputes or strikes
  • Supplier failures or shortages
  • Utility failures or internet outages

In such events, we will make reasonable efforts to minimize delays and notify you promptly.

20 Modifications to Terms

The Valley Connect LLC reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

For active projects, the Terms in effect at the time of service agreement signing shall govern unless both parties agree to modified terms in writing.

21 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

22 Entire Agreement

These Terms and Conditions, together with any service agreement, proposal, or quote signed by both parties, constitute the entire agreement between you and The Valley Connect LLC regarding our services and supersede all prior agreements, understandings, and representations.

23 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or sale of business.

24 Waiver

The failure of The Valley Connect LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of the Company.

BY SIGNING A SERVICE AGREEMENT OR ACCEPTING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ENGAGE OUR SERVICES.
